IMPORTANT NOTICE — PLEASE READ CAREFULLY

These Terms and Conditions (the "Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Miftah ("Miftah", "we", "us", "our", the "Platform", the "Company"), governing your access to and use of the Miftah mobile application, web application, broker dashboard, all related websites, application programming interfaces (APIs), and any other services, features, content, or applications offered by Miftah (collectively, the "Services").

BY ACCESSING, BROWSING, REGISTERING FOR, OR USING ANY PART OF THE SERVICES IN ANY MANNER, YOU IRREVOCABLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ALL OTHER POLICIES, GUIDELINES, OR RULES REFERENCED HEREIN OR PUBLISHED ON THE PLATFORM, EACH OF WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES AND UNINSTALL/DELETE ANY MIFTAH APPLICATIONS.

YOU ACKNOWLEDGE THAT THESE TERMS CONTAIN PROVISIONS THAT LIMIT MIFTAH'S LIABILITY, REQUIRE YOU TO INDEMNIFY MIFTAH, WAIVE CERTAIN RIGHTS, AND OBLIGATE YOU TO RESOLVE DISPUTES IN A SPECIFIC MANNER AND VENUE.


1. DEFINITIONS

For the purposes of these Terms, the following capitalised terms shall have the meanings ascribed below:

1.1 "Account" means a registered user account on the Platform, whether as an ordinary User, Broker, or Administrator.

1.2 "Broker" means a real estate office, agency, or individual real estate professional, whether licensed or unlicensed, who registers on the Platform to list, advertise, or facilitate transactions involving real estate Properties.

1.3 "Content" means any and all information, data, text, images, photographs, videos, floor plans, drawings, audio, descriptions, locations, coordinates, prices, contact information, or any other material posted, uploaded, transmitted, or otherwise made available through the Services.

1.4 "Listing" means any advertisement, offer, or representation of a Property, whether for sale, rent, lease, or otherwise, posted on or aggregated by the Platform.

1.5 "KYC" or "Identity Verification" means the Know-Your-Customer process administered by a third-party provider engaged by Miftah, including but not limited to government-issued identification document capture, facial biometric matching, liveness detection, and any related verification procedures.

1.6 "Property" means any real estate asset, including without limitation residential, commercial, industrial, agricultural, mixed-use, plots of land, or any other immovable property advertised on the Platform.

1.7 "Scraped Listing" or "Aggregated Listing" means any Listing or Content originally posted on a third-party website, application, or platform that Miftah has indexed, referenced, or surfaced within the Services, including any AI-enhanced version thereof.

1.8 "Verified Badge" means a visual indicator displayed on the Platform signifying that a User has completed Miftah's Identity Verification process. A separate "Licensed Broker Badge" signifies that a Broker has additionally submitted documentation of professional licensing.

1.9 "User-Generated Content" or "UGC" means any Content created, uploaded, or submitted directly by Users.


2. ACCEPTANCE AND ELIGIBILITY

2.1 Acceptance. Your access to and use of the Services is conditioned upon your unconditional acceptance of and compliance with these Terms. By creating an Account, posting a Listing, contacting a seller, or otherwise interacting with the Services in any way, you affirm and warrant that you have read, understood, and agreed to be bound by these Terms in their entirety.

2.2 Eligibility. You represent and warrant that:

(a) You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is higher;

(b) You possess the legal capacity to enter into a binding contract under the laws of the Syrian Arab Republic and any other jurisdiction applicable to you;

(c) You are not barred from using the Services under any applicable laws, regulations, or international sanctions;

(d) All information you provide to Miftah is true, accurate, current, and complete, and you will maintain and promptly update such information;

(e) You will not use the Services for any illegal, fraudulent, or unauthorised purpose;

(f) If you are using the Services on behalf of an entity (such as a Brokerage), you have the full legal authority to bind that entity to these Terms, and references to "you" shall mean both you personally and the entity.

2.3 Account Suspension or Refusal. Miftah reserves the absolute and unqualified right, in its sole discretion and without prior notice, to refuse, suspend, restrict, or terminate any Account at any time, for any reason or no reason, including but not limited to suspicion of fraud, misrepresentation, breach of these Terms, abusive behaviour, or any conduct deemed harmful to Miftah, other Users, or third parties.


3. ACCOUNT REGISTRATION AND IDENTITY VERIFICATION

3.1 Registration. To access certain features of the Services, you must register an Account by providing accurate, current, and complete information as prompted by the Platform. You agree to safeguard your password, login credentials, and access tokens, and accept full responsibility for all activities that occur under your Account.

3.2 Mandatory Identity Verification for Listers. Any User who intends to post, upload, or publish a Listing on the Platform must complete Miftah's Identity Verification process. This process is conducted through a third-party KYC service provider and includes, without limitation:

(a) Submission of a valid government-issued identification document;

(b) Live facial biometric capture and matching against the submitted identification document;

(c) Liveness detection to confirm the User is a real, present human;

(d) Such other verification steps as Miftah may require from time to time.

3.3 Verified Badge — NO WARRANTY. Upon successful completion of Identity Verification, a Verified Badge will be associated with the User's profile. YOU ACKNOWLEDGE AND AGREE THAT THE VERIFIED BADGE ATTESTS ONLY TO THE FACT THAT THE USER HAS COMPLETED MIFTAH'S IDENTITY VERIFICATION PROCESS AT THE TIME OF REGISTRATION. THE VERIFIED BADGE DOES NOT, IN ANY WAY, CONSTITUTE A REPRESENTATION, WARRANTY, OR ENDORSEMENT BY MIFTAH OF:

(a) The truthfulness, accuracy, legality, or quality of any Listing or Content posted by that User;

(b) The character, integrity, intentions, trustworthiness, or commercial reliability of the User;

(c) The legal ownership, title, encumbrance status, or right-to-sell of any Property listed by the User;

(d) The condition, value, suitability, or compliance with law of any Property;

(e) The User's continued identity, capacity, or status at any time after initial verification.

VERIFIED USERS MAY STILL POST FRAUDULENT, MISLEADING, FALSE, OR INACCURATE LISTINGS, AND MIFTAH BEARS NO LIABILITY WHATSOEVER FOR ANY HARM, LOSS, OR DAMAGE ARISING FROM RELIANCE ON A VERIFIED BADGE OR ANY CONTENT POSTED BY A VERIFIED USER.

3.4 Licensed Broker Badge. Brokers who voluntarily submit and have approved evidence of valid professional real estate licensing may receive a Licensed Broker Badge. Miftah does not independently audit, verify on an ongoing basis, or guarantee the continued validity of any professional license, and the Licensed Broker Badge does not constitute a recommendation, endorsement, or guarantee of the Broker's competence, ethics, or service quality.

3.5 Account Security. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify Miftah immediately of any unauthorised use of your Account. Miftah shall not be liable for any loss or damage arising from your failure to comply with this Section.

3.6 One Account per Person. You may not create or maintain multiple Accounts, impersonate any person or entity, or misrepresent your affiliation with any person or entity.


4. NATURE OF THE SERVICES — PLATFORM AS INTERMEDIARY AND SEARCH ENGINE

4.1 Hybrid Platform Model. You expressly acknowledge and agree that Miftah operates as a hybrid technology platform combining:

(a) A venue where verified Users and Brokers may post their own Listings ("First-Party Listings"); and

(b) A search engine and content aggregator that indexes, displays, references, and surfaces Listings originating from third-party websites, platforms, applications, social media pages, and other public or semi-public sources ("Aggregated Listings" or "Scraped Listings").

4.2 Miftah Is Not a Party to Transactions. MIFTAH IS NOT A REAL ESTATE BROKER, AGENT, AUCTIONEER, APPRAISER, INSPECTOR, ATTORNEY, FINANCIAL ADVISOR, OR PARTY TO ANY TRANSACTION OR DEALING BETWEEN USERS, BROKERS, BUYERS, SELLERS, LANDLORDS, OR TENANTS. Miftah merely provides a technology platform that facilitates discovery and communication. All negotiations, agreements, contracts, payments, transfers, inspections, and any other dealings are conducted strictly between the relevant parties, at their own risk and without involvement, oversight, or warranty by Miftah.

4.3 No Real Estate Brokerage Services. Nothing in the Services should be construed as the provision of real estate brokerage, advisory, valuation, legal, financial, tax, or any other professional services. Users are strongly advised to engage independent licensed professionals before entering into any real estate transaction.


5. AGGREGATED LISTINGS, THIRD-PARTY CONTENT, AND AI-ENHANCED CONTENT

5.1 Third-Party Ownership. You expressly acknowledge that Aggregated Listings originate from third-party sources and remain the intellectual property of their respective original posters, owners, and source platforms. Miftah does not claim ownership of Aggregated Listings, does not represent that such Listings are authored by Miftah, and explicitly attributes each Aggregated Listing to its original source, including the source platform name and a link or reference to the original posting URL within the listing's contact section.

5.2 Search Engine Function. Miftah's aggregation and indexing function operates similarly to a search engine. Miftah does not endorse, sponsor, control, or assume responsibility for the content, accuracy, legality, completeness, or current availability of any Aggregated Listing. If you are the owner of a third-party listing and wish for it to be removed from the Platform, please refer to Section 14 (Takedown Requests).

5.3 AI Enhancement Disclosure. Aggregated Listings may be processed using artificial intelligence and machine learning technologies in order to provide a more complete, structured, and accessible service to Users. Such AI processing may include, without limitation:

(a) Translation between Arabic, English, and other languages;

(b) Interpretation, reformatting, or restructuring of text;

(c) Categorisation and tagging by Property type, location, and other attributes;

(d) Standardisation of unit measurements, pricing, and metadata;

(e) Inference or completion of missing fields based on context;

(f) Generation of summary descriptions.

5.4 AI Misinformation Disclaimer. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT AI-ENHANCED PROCESSING MAY INTRODUCE ERRORS, INACCURACIES, OMISSIONS, TRANSLATION DEFECTS, MISCATEGORISATIONS, OR OUTRIGHT MISINFORMATION. MIFTAH DOES NOT AND CANNOT VERIFY THE ORIGINAL ACCURACY OF AGGREGATED LISTINGS, AND MIFTAH'S AI ENHANCEMENTS ARE OFFERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND.

5.5 Independent Verification Required. Users are solely responsible for independently verifying all information regarding any Property, whether the Listing is a First-Party Listing or Aggregated Listing, before taking any action, including making contact, visiting the Property, paying any deposit or fee, entering into any contract, or making any decision in reliance on Listing information.

5.6 No Liability for Listing Content. MIFTAH DISCLAIMS ALL LIABILITY FOR THE CONTENT, ACCURACY, LEGALITY, AVAILABILITY, CONDITION, OWNERSHIP, OR ANY OTHER ATTRIBUTE OF ANY LISTING, WHETHER A FIRST-PARTY LISTING OR AN AGGREGATED LISTING, WHETHER AI-ENHANCED OR NOT.


6. USER-GENERATED CONTENT AND LISTING RULES

6.1 Your Content Responsibility. You are exclusively and fully responsible for any and all Content you post, upload, transmit, or otherwise make available through the Services. You represent and warrant that:

(a) You own all rights in your Content or have obtained all necessary licenses, permissions, and consents to post it;

(b) Your Content is truthful, accurate, current, and not misleading in any material respect;

(c) Your Content does not infringe any third party's intellectual property, privacy, publicity, contractual, or other rights;

(d) Your Content complies with all applicable laws, regulations, and these Terms;

(e) You have the legal right to advertise the Property, including ownership, agency authority, or other lawful authorisation;

(f) The Property advertised actually exists, is located where indicated, and is available on the terms advertised.

6.2 Prohibited Content. You shall not post, upload, or transmit any Content that:

(a) Is false, fraudulent, deceptive, or misleading;

(b) Advertises Property you do not own or have lawful authority to advertise;

(c) Duplicates Listings for the same Property in an artificial or manipulative manner;

(d) Contains incorrect price, location, area, or feature information;

(e) Includes images or media not depicting the actual Property advertised;

(f) Violates any third-party intellectual property right, including unauthorised use of images, floor plans, or descriptions from other listings;

(g) Contains personal information of any other person without their explicit consent;

(h) Is defamatory, libellous, obscene, pornographic, indecent, offensive, hateful, discriminatory, harassing, threatening, or otherwise objectionable;

(i) Promotes illegal activity, money laundering, terrorism, sanctions evasion, or any unlawful purpose;

(j) Contains malware, viruses, spyware, or any harmful code;

(k) Violates any applicable Syrian law, regulation, or international sanctions regime;

(l) Solicits or includes activities outside the lawful scope of real estate advertising.

6.3 Licence to Miftah. By submitting, posting, uploading, or otherwise providing any Content (including images, photographs, video, text, floor plans, descriptions, and any associated information) to or through the Platform, you grant Miftah an irrevocable, worldwide, royalty-free, perpetual, sublicensable, transferable, and non-exclusive licence to host, store, reproduce, modify, adapt, translate, create derivative works of, publicly display, publicly perform, distribute, communicate, and otherwise use such Content for any purpose connected with the operation, development, improvement, and promotion of the Services and of Miftah's business, including without limitation:

(a) Displaying the Content on any current or future Miftah platform, application, website, or affiliated channel;

(b) Translating, summarising, restructuring, categorising, or otherwise processing the Content using such technologies and methods as Miftah considers appropriate from time to time;

(c) Using the Content and any associated information for analytics, research, product development, and the ongoing improvement of the Services and any related offerings;

(d) Featuring, reproducing, or referencing the Content — including images of Properties and Listing details — in marketing campaigns, advertising, promotional materials, social media posts (organic or sponsored), newsletters, press and PR materials, case studies, and any other media or channels used by Miftah to promote the Listings, the Platform, or Miftah's business generally, whether online or offline;

(e) Sharing the Content with partners, service providers, advertising platforms, affiliates, and other recipients as Miftah considers reasonably necessary or appropriate for the purposes set out herein.

Ownership Carve-Out. Notwithstanding the breadth of the foregoing licence, Miftah will not (i) claim ownership of any Property advertised in a Listing, (ii) act as the seller, vendor, or commercial offeror of any Property in any transaction, or (iii) otherwise hold itself out as the owner of a Property listed by another User. The licence granted herein is for the promotional, marketing, technical, and operational use of the Content in connection with the Platform and Miftah's business, and does not transfer or affect ownership of the underlying Property itself.

This licence is granted for the maximum duration permitted by applicable law and survives termination of your Account with respect to Content already used or distributed in good faith, save where you have validly exercised an applicable legal right to erasure that requires Miftah to cease such use.

6.4 Moderation and Removal. Miftah reserves the absolute right, but not the obligation, to review, moderate, edit, remove, refuse to publish, or take any other action with respect to any Content, at any time, for any reason or no reason, including without notice. Miftah does not pre-screen all Content and is not obligated to do so.


7. PROHIBITED CONDUCT

7.1 You shall not, and shall not permit any third party to:

(a) Use the Services for any illegal, fraudulent, or unauthorised purpose;

(b) Violate any law, regulation, or third-party right;

(c) Impersonate any person or entity, or falsely state or misrepresent your affiliation;

(d) Harass, abuse, threaten, intimidate, or harm any other User or Miftah personnel;

(e) Interfere with, disrupt, or attempt to gain unauthorised access to the Services, servers, networks, or any part thereof;

(f) Probe, scan, or test the vulnerability of any system or network used by the Services;

(g) Use any automated means, including bots, spiders, crawlers, scrapers, or data-mining tools, to access, harvest, or extract data from the Services (see Section 8 below);

(h) Reverse-engineer, decompile, disassemble, or attempt to derive source code from any part of the Services;

(i) Use the Services in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use;

(j) Circumvent, disable, or interfere with any security feature of the Services;

(k) Collect or harvest personal data of other Users without their explicit consent and a lawful basis;

(l) Send unsolicited communications, spam, or chain messages through the Services;

(m) Use the Services to compete with Miftah, including building a competing product or service using data extracted from the Services;

(n) Cache, mirror, or otherwise store the Services or any portion thereof on any server or device not authorised by Miftah;

(o) Frame, mirror, or embed the Services within any other website or application without prior written authorisation;

(p) Sell, resell, sublicense, rent, lease, or otherwise commercialise access to the Services without prior written authorisation;

(q) Engage in any conduct that, in Miftah's sole discretion, is detrimental to the Services, other Users, or Miftah's reputation.


8. ANTI-SCRAPING AND DATA EXTRACTION PROHIBITION

8.1 Absolute Prohibition on Scraping. YOU EXPRESSLY AGREE THAT THE EXTRACTION, COPYING, REPRODUCTION, HARVESTING, MIRRORING, INDEXING, REPUBLICATION, OR REUSE OF ANY DATA, CONTENT, LISTING, IMAGE, METADATA, OR ANY OTHER MATERIAL FROM THE MIFTAH PLATFORM IS STRICTLY PROHIBITED, whether such extraction is conducted by:

(a) Automated means (including but not limited to bots, spiders, crawlers, web scrapers, headless browsers, parsers, AI agents, machine-learning models, screen-scrapers, or any script);

(b) Manual means (including but not limited to copy-pasting, screenshotting, transcription, or any other manual data collection); or

(c) Hybrid means combining automated and manual extraction.

8.2 Includes AI Training. The prohibition in Section 8.1 expressly includes the use of Platform data for the training, fine-tuning, evaluation, or augmentation of any artificial intelligence, machine learning, or large language model system. No part of the Platform may be ingested into any AI training dataset.

8.3 Robots Exclusion. Miftah's robots.txt, meta tags, terms-of-service notices, technical access controls, and other measures constitute legally binding access restrictions. Bypassing or ignoring such controls constitutes unauthorised access.

8.4 Severe Legal Consequences. VIOLATION OF THIS SECTION 8 SHALL CONSTITUTE A MATERIAL BREACH OF THESE TERMS AND MAY EXPOSE YOU TO SEVERE CIVIL AND CRIMINAL LIABILITY UNDER, AMONG OTHER LAWS, THE LAWS OF THE SYRIAN ARAB REPUBLIC PROTECTING INTELLECTUAL PROPERTY, COMPUTER SYSTEMS, DATABASE RIGHTS, TRADE SECRETS, AND UNFAIR COMPETITION, AS WELL AS APPLICABLE INTERNATIONAL LAWS INCLUDING BUT NOT LIMITED TO THE COMPUTER FRAUD AND ABUSE ACT (US), THE COMPUTER MISUSE ACT (UK), THE GDPR (EU), AND ANALOGOUS LEGISLATION. Miftah reserves the right to pursue all available legal remedies, including injunctive relief, monetary damages, statutory damages, restitution, disgorgement of profits, attorneys' fees, court costs, and criminal prosecution.

8.5 Liquidated Damages. Without limiting Miftah's right to seek actual damages or any other remedy, the parties agree that, due to the inherent difficulty of quantifying losses arising from unauthorised data extraction, you shall pay Miftah liquidated damages of no less than USD 100 (or local-currency equivalent) per Listing or record extracted, copied, or reused in breach of these Terms, plus all related enforcement costs and reasonable attorneys' fees. The parties agree this sum is a genuine pre-estimate of damages and not a penalty.

8.6 API Access. Any access to Miftah's data via an authorised API is governed by separate written API terms and is permitted only within the scope, rate limits, and field restrictions of those terms.


9. BROKER-SPECIFIC PROVISIONS

9.1 Broker Onboarding. Brokers must complete Miftah's broker onboarding process, which may include additional verification, contractual undertakings, and acceptance of supplemental broker terms. Brokers acknowledge that the Broker Dashboard is a separate interface with additional functionalities subject to these Terms and any supplemental broker agreement.

9.2 Listing Quality. Brokers shall maintain high standards of accuracy and timeliness in their Listings, promptly remove or mark as unavailable any Properties no longer for sale or rent, and respond to User inquiries in a timely and professional manner.

9.3 Compliance With Real Estate Laws. Brokers shall comply with all applicable real estate, consumer protection, anti-money laundering, advertising, and licensing laws of the Syrian Arab Republic and any other applicable jurisdiction.

9.4 Commercial Terms. Any commercial arrangement between Miftah and a Broker, including subscription fees, listing fees, commissions, or KPI-based arrangements, shall be governed by a separate written agreement which, in the event of conflict, shall prevail over these Terms with respect to such commercial terms.

9.5 Independent Contractor Relationship. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between Miftah and any Broker. Brokers operate as independent entities.


10. INTELLECTUAL PROPERTY RIGHTS

10.1 Miftah Ownership. Except for User Content and Aggregated Listings (which remain owned by their respective originators subject to the licences granted herein), all rights, title, and interest in and to the Services — including without limitation the Miftah name, logo, branding, trademarks, service marks, trade dress, software code, design, layout, structure, look and feel, databases, compilations, AI models, AI-generated enhancements of Aggregated Listings, algorithms, user interfaces, graphics, and all other materials — are and shall remain the exclusive property of Miftah and its licensors.

10.2 No Implied Licence. No licence or right is granted to you by implication, estoppel, or otherwise other than the limited, revocable, non-exclusive, non-transferable licence to access and use the Services solely as expressly permitted by these Terms and for personal, non-commercial use (or, in the case of authorised Brokers, for use within the scope of their Broker agreement).

10.3 AI Outputs. AI-generated enhancements (including translations, categorisations, summaries, and other derivative outputs) of Aggregated Listings constitute derivative works owned by Miftah, without prejudice to the rights of the original Listing creator in the underlying source material.

10.4 Feedback. Any feedback, suggestion, idea, or recommendation you submit to Miftah is provided on a non-confidential basis and may be used by Miftah without obligation or compensation.

10.5 Trademarks. Miftah, the Miftah logo, and any associated marks are trademarks of Miftah. You may not use them without prior written consent.


11. TRANSACTIONS AND DEALINGS BETWEEN USERS

11.1 Off-Platform Transactions. All transactions, dealings, agreements, payments, deposits, contracts, viewings, inspections, and communications between Users — whether occurring within the Platform, by phone, in person, or through any other channel — are strictly between the Users themselves. MIFTAH IS NOT A PARTY TO, BROKER OF, ESCROW FOR, GUARANTOR OF, OR FACILITATOR OF SUCH TRANSACTIONS.

11.2 No Responsibility. Miftah bears no responsibility, obligation, or liability for:

(a) Any agreement, contract, or transaction entered into between Users;

(b) Any payment, deposit, transfer of funds, or financial loss;

(c) Any failure of any party to perform any obligation;

(d) Any dispute, disagreement, or litigation between Users;

(e) Any property condition, defect, encumbrance, or legal issue;

(f) Any fraud, misrepresentation, or wrongdoing by any User;

(g) Any personal injury, property damage, or harm arising from a viewing, inspection, or interaction between Users;

(h) Any failure of a Property to match its description;

(i) Any taxes, fees, levies, or duties associated with any transaction.

11.3 User-to-User Disputes. Disputes between Users shall be resolved directly between them. Miftah may, in its sole discretion and without obligation, provide limited information or assistance, but accepts no responsibility for the outcome of any such dispute.

11.4 Due Diligence Required. You are strongly advised to conduct independent due diligence prior to any transaction, including engaging qualified professionals (legal counsel, property surveyors, valuators, notaries) and verifying ownership records with the relevant land registry.


12. FEES, PAYMENTS, AND COMMERCIAL TERMS

12.1 Free and Paid Services. Certain features of the Services may be provided free of charge, while others may require payment of fees. Fee structures, including subscription fees, listing fees, premium feature fees, advertising fees, and Broker commercial terms, are set forth on the Platform or in a separate written agreement.

12.2 Changes to Fees. Miftah reserves the right to modify, introduce, or remove any fee at any time, in its sole discretion, upon reasonable notice posted on the Platform.

12.3 Taxes. All fees are exclusive of any applicable taxes, duties, or levies, which shall be your sole responsibility.

12.4 Refunds. Except as expressly provided in writing or as required by mandatory law, all fees are non-refundable.


13. ADVERTISEMENTS AND THIRD-PARTY LINKS

13.1 The Platform may display third-party advertisements, sponsorships, promotions, or links to third-party websites and services. Miftah does not endorse, control, or guarantee such third-party content and bears no responsibility for any loss or damage arising from your interaction with such third parties.


14. NOTICE AND TAKEDOWN PROCEDURE

14.1 Reporting. If you believe that any Content on the Platform infringes your intellectual property rights, violates applicable law, or otherwise breaches these Terms, you may submit a written notice to [INSERT TAKEDOWN EMAIL] containing:

(a) Your full name and contact information;

(b) A description of the allegedly infringing or unlawful Content, including a direct URL or sufficient detail to locate it;

(c) A description of the right or rule allegedly violated;

(d) A statement of good faith belief, made under penalty of perjury, that your claim is accurate;

(e) Your signature (electronic or otherwise) and proof of identity or authority.

14.2 Action by Miftah. Upon receipt of a valid notice, Miftah will review the matter and, in its sole discretion, may remove, restrict, or modify the relevant Content, suspend the responsible Account, or take any other action it deems appropriate. Miftah is not obligated to disclose the outcome of its review.

14.3 False Claims. Submission of materially false takedown notices may result in liability for the claimant.


15. THIRD-PARTY KYC PROVIDER

15.1 Independent Provider. Miftah uses a third-party Identity Verification provider to administer KYC processes. Information collected during KYC may be processed by such provider in accordance with its own terms and privacy policy, in addition to Miftah's Privacy Policy.

15.2 No Warranty as to KYC Provider. Miftah does not warrant the operations, security, or accuracy of the third-party KYC provider, but selects providers with reasonable care.

15.3 KYC Failures. Miftah accepts no liability for any inability to use the Services arising from a failed or rejected KYC check.


16. DISCLAIMERS OF WARRANTIES

16.1 "AS-IS" AND "AS-AVAILABLE" BASIS. THE SERVICES, INCLUDING ALL CONTENT, LISTINGS (FIRST-PARTY AND AGGREGATED), FEATURES, FUNCTIONS, AI ENHANCEMENTS, AND ANY OUTPUT THEREFROM, ARE PROVIDED ON A STRICTLY "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTY OR REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

16.2 DISCLAIMED WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIFTAH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

(a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR QUALITY;

(b) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

(c) WARRANTIES AS TO THE ACCURACY, AVAILABILITY, OR LEGALITY OF ANY LISTING OR CONTENT;

(d) WARRANTIES THAT ANY DEFECT OR ERROR WILL BE CORRECTED;

(e) WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

16.3 NO WARRANTY AS TO USERS. MIFTAH MAKES NO WARRANTY REGARDING THE IDENTITY, INTEGRITY, OR CONDUCT OF ANY USER, BROKER, BUYER, SELLER, LANDLORD, OR TENANT, NOTWITHSTANDING ANY VERIFIED BADGE OR LICENSED BROKER BADGE.

16.4 NO WARRANTY AS TO PROPERTIES. MIFTAH MAKES NO WARRANTY REGARDING THE EXISTENCE, OWNERSHIP, TITLE, CONDITION, VALUE, LEGAL STATUS, OR ANY OTHER ATTRIBUTE OF ANY PROPERTY.

16.5 AUTOMATED PROCESSING DISCLAIMER. CERTAIN FEATURES OF THE SERVICES INVOLVE AUTOMATED PROCESSING, INCLUDING TRANSLATION, CATEGORISATION, MODERATION, RECOMMENDATIONS, AND OTHER COMPUTATIONAL TECHNIQUES. SUCH FEATURES MAY PRODUCE RESULTS THAT ARE INCOMPLETE, INACCURATE, OR OTHERWISE IMPERFECT. ANY RELIANCE ON AUTOMATED OUTPUTS IS AT YOUR OWN RISK.


17. LIMITATION OF LIABILITY

17.1 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIFTAH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, PARTNERS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, OR ANTICIPATED SAVINGS;

(c) LOSS OF DATA, USE, OR CONTENT;

(d) LOSS OR DAMAGE ARISING FROM ANY TRANSACTION OR DEALING WITH ANOTHER USER;

(e) LOSS OR DAMAGE ARISING FROM ANY ERROR, INACCURACY, OR OMISSION IN ANY LISTING (FIRST-PARTY OR AGGREGATED, AI-ENHANCED OR NOT);

(f) LOSS OR DAMAGE ARISING FROM ANY INABILITY TO ACCESS OR USE THE SERVICES;

(g) LOSS OR DAMAGE ARISING FROM ANY UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA;

(h) ANY OTHER LOSS OR DAMAGE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF MIFTAH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 MAXIMUM AGGREGATE LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIFTAH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF CAUSE OR THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF:

(a) THE TOTAL AMOUNT PAID BY YOU TO MIFTAH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) USD 50 (OR LOCAL-CURRENCY EQUIVALENT).

17.3 BASIS OF THE BARGAIN. YOU ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION 17 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND MIFTAH AND THAT MIFTAH WOULD NOT PROVIDE THE SERVICES WITHOUT THEM.

17.4 APPLICABLE LAW. Some jurisdictions do not allow certain limitations or exclusions. To the extent any such limitation cannot lawfully be enforced, Miftah's liability shall be limited to the maximum extent permitted by applicable law.


18. INDEMNIFICATION

18.1 Your Indemnification Obligation. You agree to defend, indemnify, and hold harmless Miftah, its affiliates, officers, directors, employees, agents, licensors, partners, and service providers from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) Your access to or use of the Services;

(b) Your breach or alleged breach of these Terms;

(c) Your Content, including any Listing posted by you;

(d) Your violation of any law, regulation, or third-party right;

(e) Any transaction or dealing between you and another User;

(f) Any misrepresentation made by you;

(g) Any unauthorised use of your Account.

18.2 Defence Cooperation. Miftah reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Miftah's defence.


19. TERMINATION

19.1 Termination by You. You may terminate your Account at any time directly within the Miftah mobile application via Settings → Account → Delete Account. The Services do not require you to contact support, send an email, or visit a separate website in order to delete your Account. Termination through this in-app process effects a true deletion of your Account in accordance with the procedures, retention rules, and timelines set out in Section 14.5 of the Privacy Policy (Account Deletion — In-App Deletion Flow), and is permanent and irreversible; once your Account is deleted you will no longer be able to log in or recover it. As an accessibility alternative, you may also contact Miftah support to request deletion, in which case the same deletion and retention rules apply.

19.2 Termination by Miftah. Miftah may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time, for any reason or no reason, with or without notice, in its sole discretion.

19.3 Effect of Termination. Upon termination:

(a) Your right to use the Services ceases immediately;

(b) Sections that by their nature should survive termination (including, without limitation, Sections 6.3, 8, 10, 16, 17, 18, 20, 21, and this Section 19) shall survive;

(c) Miftah may retain any Content, data, and records as required for legal, regulatory, security, or operational purposes;

(d) You shall remain liable for all obligations accrued prior to termination.


20. GOVERNING LAW AND DISPUTE RESOLUTION

20.1 Governing Law. These Terms, and any dispute arising out of or in connection with them or the Services, shall be governed by and construed in accordance with the laws of the Syrian Arab Republic, without regard to its conflict-of-laws principles.

20.2 Exclusive Jurisdiction. Subject to Section 20.3, the competent courts of Damascus, Syrian Arab Republic shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

20.3 Optional Arbitration. 20.4 Injunctive Relief. Notwithstanding anything to the contrary, Miftah may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or to enforce Sections 7, 8, or 10.

20.5 Time Limitation. Any claim arising out of or related to these Terms or the Services must be brought within one (1) year after the cause of action arose; otherwise, such claim is permanently barred.

20.6 No Class Actions. To the maximum extent permitted by applicable law, you agree that any dispute shall be brought solely on an individual basis and not as a class, consolidated, or representative action.


21. MISCELLANEOUS

21.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and Miftah regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and communications.

21.2 Modifications. Miftah reserves the right to modify these Terms at any time, in its sole discretion, by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Services after such posting constitutes your acceptance of the modified Terms. If you do not agree to the modifications, you must cease all use of the Services.

21.3 No Waiver. Miftah's failure to enforce any right or provision shall not constitute a waiver of that right or provision.

21.4 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to render it enforceable while preserving its intent.

21.5 Assignment. You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without Miftah's prior written consent. Miftah may freely assign, transfer, or delegate these Terms in connection with a merger, acquisition, corporate reorganisation, sale of assets, or by operation of law.

21.6 Force Majeure. Miftah shall not be liable for any delay or failure to perform arising from causes beyond its reasonable control, including without limitation acts of God, war, civil unrest, terrorism, governmental actions, sanctions, embargoes, internet or telecommunications failures, cyberattacks, pandemics, or natural disasters.

21.7 Notices. All notices to Miftah must be sent to [INSERT NOTICE EMAIL / ADDRESS]. Miftah may give notice to you by email, in-app notification, or posting on the Platform.

21.8 Language. These Terms are issued in both Arabic and English. In the event of any conflict or discrepancy between the two versions, the Arabic version shall prevail for the purposes of Syrian law. [VERIFY WITH COUNSEL — alternative: English prevails for international users.]

21.9 Headings. Section headings are for convenience only and do not affect interpretation.

21.10 Relationship. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and Miftah.

21.11 Third-Party Beneficiaries. Miftah's affiliates, officers, directors, employees, agents, licensors, partners, and service providers are intended third-party beneficiaries of these Terms.
